These Terms of Service (“Agreement”) are between GeniusDocuments, LLC (“GeniusDocuments,” “we,” “us”) and you (“User,” “you”). By using GeniusDocuments.com or related services (the “Service”), you agree to these Terms.

If you do not agree, do not use the Service.

Overview of Service
GeniusDocuments provides a cloud-based platform that allows users to:
- Create, send, and sign electronic documents
- Request signatures from others
- Store and manage documents
- Collect payments or deposits linked to agreements (via third-party processors) GeniusDocuments is a technology provider only and is not a party to any agreement between users.
Eligibility
You must be at least 18 years old and legally able to enter binding contracts to use the Service.
Accounts
You are responsible for:
- Maintaining account security
- All activity under your login
- Ensuring recipient identity before sending documents
Electronic Signatures (ESIGN/UETA)
You agree that electronic signatures through GeniusDocuments are intended to comply with:
- U.S. ESIGN Act
- Uniform Electronic Transactions Act (UETA)
Electronic signatures are legally binding, but enforceability may vary by jurisdiction and document type.
Subscription & Billing
- Paid subscriptions renew automatically unless canceled
- Fees are charged via third-party processors (e.g., Stripe)
- Free trials (if offered) convert to paid plans unless canceled before expiration
- Fees are non-refundable unless required by law
Payments & Deposits
The Service may allow users to request or collect payments or deposits tied to agreements.

You agree that:
- GeniusDocuments is NOT a bank, escrow agent, or payment processor
- All payments are handled by third-party providers
- GeniusDocuments is NOT responsible for disputes, chargebacks, refunds, or service delivery issues between users
Payment Dispute Disclaimer
GeniusDocuments is not responsible for any disputes arising from payments, deposits, or contractual obligations between users. All disputes must be resolved directly between the parties involved.
No Legal Advice
GeniusDocuments does not provide legal advice. The Service is a document automation tool only. Users should consult legal counsel for legal interpretation or enforceability of any document.
Neutral Technology Provider
GeniusDocuments acts solely as a neutral technology platform. We do not:
- Draft legal agreements for users
- Verify legality of documents
- Guarantee outcomes of agreements
Identity Verification Disclaimer
GeniusDocuments does not guarantee the identity of any signer. Users are responsible for verifying signer identity and authority.
User Responsibilities
Users agree not to:
- Use the Service for illegal or fraudulent purposes
- Upload unlawful or infringing documents
- Misuse system access or attempt to disrupt service
Users are solely responsible for their documents and agreements.
Contractor Responsibility Clause
If used in connection with services (e.g., construction or contracting work), users acknowledge:
- GeniusDocuments is not responsible for work quality, performance, permits, licensing, or compliance
- All contractor or service obligations are solely between contracting parties
- GeniusDocuments has no liability for disputes involving work performed under signed agreements
Intellectual Property
All software, systems, branding, and technology remain the exclusive property of GeniusDocuments.
Data & Documents
Users retain ownership of uploaded documents. GeniusDocuments may store data for operational purposes but is not responsible for long-term archival unless required by law or contract.
Security
We use commercially reasonable safeguards but do not guarantee absolute security of data.
Service Availability
Service may be interrupted for maintenance or events outside our control. No uptime guarantees are provided.
Termination
We may suspend or terminate accounts for violations of these Terms. Users may cancel at any time.
Disclaimer of Warranties
The Service is provided “AS IS” and “AS AVAILABLE” without warranties of any kind.
Limitation of Liability
To the maximum extent permitted by law:
- GeniusDocuments is not liable for indirect, incidental, or consequential damages.
- Total liability shall not exceed $100 or fees paid in the prior 12 months (whichever is greater).
Indemnification
You agree to indemnify GeniusDocuments from claims arising from:
- Your use of the Service
- Your documents or agreements
- Your violation of these Terms
Arbitration & Class Action Waiver
Any disputes shall be resolved through binding arbitration in New York.

You waive the right to:
- Jury trials
- Class actions
All claims must be brought individually.
Governing Law
This Agreement is governed by the laws of the State of New York. Venue shall be Westchester County, New York.
Changes to Terms
We may update these Terms. Continued use of the Service constitutes acceptance of changes.
